I have 32GB USB I can't read it in Windows XP? Why?

I Have 32 GB and 64 GB USB working fine with Windows 7, But in Windows XP can not read my files.  and Windows XP asked me to format USB drive. I don't want to format my drive in Windows XP.

What I have to do to make My 32 GB and 64 GB USB drivers readable in Windows XP.
