With only 32 bits of address space the system can only access 4GB and for other technical reasons the actual available memory is limited to around 3.2GB.

 

64b windows can access up to 192GB but with the caveat that the memory footprint of Windows itself is larger. Minimum spec for 32b is 1GB, 64b is 2GB so if your system is limited to 4GB physical memory as is the case with some hardware upgrading from 32b to 64b may be counterproductive.
