Upgrading from 32bit windows xp pro to 64 bit windows 7 using just the windows 7 64bit upgrade dvd

Hi all, I have a 64-bit capable pc running 32 bit xp professional currently. I am a college student and is applicable to buy a Microsoft Windows 7 Home Premium/Professional Upgrade but can only choose either the 32bit or 64bit version (only one). I am planning to get the Microsoft Windows 7 Professional 64 bit.

Do anyone know if there will be any issue in installation? Especially whether the windows 7 64bit DVD will recognise and acknowledge the 32 bit windows xp pro as a suitable criteria (of upgrading) before it do a clean install on my pc?

I understood that it will need a clean install but not sure as to whether the 'upgrade' version will work based on a 32bit vista home premium.

Yes. The registry in 32 bit will not upgrade to 64 bit. Clean install, possible even from an upgrade disk, will not carry the profile or app settings.
