Windows 7 Ultimate 64 - Unwanted auto wake-up from hibernation

I have a 2 week old Dell Studio 540S (Win 7/Ult/64). Power plan is the default for the power switch (hibernate).

When session is done, I press the power button and PC goes into hibernation normally.  Problem is machine continually turns itself on between 2:00 & 3:00 AM.  The next day, the power light is on steady & the hard drive is running.  When I turn the monitor on , it's at the Logon screen.

I have checked Windows logs (both System & Application) & various items are logged as "started" or "running" at the time of wake-up, but it's not clear what turned the machine on.  One log showed "Power Manager" started the system, but the "source" was "unknown".  A McaFee log showed a "Ping" by the Dell laptop on my home network around the time of wake-up, but can't tell if this was the cause.

Actions taken to date (without result):

In BIOS I disabled "Allow remote wake-up" & rebooted.
Windows automatic update has been disabled.
Windows Media Center auto update disabled
McaFee auto update & scheduled scans have been disabled.

Note that the prior machine (Win XP Home) with the same monitor and wireless Logitech Revolution mouse had no hibernation problems.  New machine uses the standard Dell USB keyboard which came with the system.

Please advise if this is a known Windows 7 issue (or Dell?) and any additional actions I might take to correct this problem.

Let us try the following methods to troubleshoot this issue and verify if it helps.
 
Method 1.
In the Power Options you may cross check if the "Allow Wake Timer" is enabled.

• A hardware device might be keeping your computer awake. USB flash drives and USB mice are common devices that can keep your computer awake. Make sure that you have the most current drivers all of your devices. For more information, see Update drivers

Method 2.
To prevent a device from waking your computer
1. Open Device Manager by clicking the Start button  , clicking Control Panel, clicking System and Security, and then, under System, clicking Device Manager.   If you're prompted for an administrator password or confirmation, type the password or provide confirmation.
2. In the list of hardware categories, find the device that you want to prevent from waking your computer, and then double-click the device name.
3. Click the Power Management tab and then clear the Allow this device to wake the computer check box.
4. Click OK.
 
Method 3.
• A program or scheduled task might be waking your computer. By default, Power Option settings do not allow scheduled tasks to wake the computer from sleep or hibernate. However, some programs might awaken the computer if these settings have been changed.
To prevent programs from waking your computer
1. Open Power Options by clicking the Start button  , clicking Control Panel, clicking System and Security, and then clicking Power Options.
2. On the Select a power plan page, click Change plan settings for the plan that you want to change.
3. On the Change settings for the plan page, click Change advanced power settings.
4. On the Advanced settings tab, expand Sleep, expand Allow wake timers, choose Disable for both when your computer is running on battery and when it's plugged in, and then click OK.
